STATELINE WORLD TRADE ASSOCIATION BY-LAWS
 


I.

The name of this organization shall be:  Stateline World Trade Association.

The Mission/Vision Statement is:

  1. To bring knowledge and professional people together who are actively engaged in international trade.
  2. To promote professionalism and excellence in export and import management.
  3. To actively seek and support beneficial legislation in the furtherance of international trade.
  4. To help in the promotion of exports and imports supporting the favorable U.S. balance of trade.
  5. To recognize the many benefits to the community, state, and nation made by firms actively engaged in international trade.

II.

 The fiscal year of this association shall be designated as September 1 of any year through August 31 of the following year.

III.

The annual meeting of the members shall be held in the evening of the fourth Thursday of October each year at such place as the Board of Directors may designate.  If, for any cause, the Annual Meeting is not held on the date herein provided, the Board of Directors shall determine prior to the date here-in provided upon a new date for holding such a meeting, not later, however, than thirty days after the date prescribed by these bylaws, and notice of such meetings shall be given in the same manner as herein required for regular meetings.

IV.

The Board of Directors shall be comprised of not less than nine (9) or more than fifteen (15) members.  Four (4) shall be officers designated as President, Vice-President, Secretary and Treasurer.  

The Officers shall be elected for one (1) year term.  The directors shall be elected for a three (3) year term.  At each Annual Meeting elections will be held to elect the four officers of a term of one (1) year.  Two directors shall be elected for a three (3) Year term.  All dues paying members shall be eligible to serve as officers of the Association or the Board of Directors.

V.

Members of the Board shall nominate candidates for Officers and Directors to the Association.  Names will be given in October to the general membership and a vote taken.  A majority vote will be decisive. 

VI.

Membership in the Association is open to any individual or company actively engaged or actively interested in international trade.  All dues paying members of the SLWTA shall have equal status and shall be designated as voting members.

VII.

All membership must be approved by the majority vote of the Board of Directors.

VIII.

The Board of Directors or the President may call special meetings of the members.  Regular meetings shall be held on the fourth (4th) Thursday of each month or other such date as may be fixed by the Board of Directors, except during the summer months as may be agreed upon, or such other date as may be fixed by the Board of Directors.    Notice of all meetings to members shall be given in writing and delivered them personally or by electronic mail no less than seventy-two (72) hours prior to the time set of holding such a meeting.

IX.

The Board may fill vacancies of the Board of Directors for the duration of the term of the vacating member from the voting members if so determined by the Board of Directors.

X.

In any meeting of the Board of Directors, a majority of the Directors shall constitute a quorum for the transaction of the business, and the majority of the vote cast at any meeting of the Board of Directors shall be decisive in any election, motion, resolution or other   proceeding except as otherwise provided by these bylaws.

The Board of Directors shall fix annual dues of members

In case of dissolution, the StateLine World Trade Association will give all assets to the other world trade associations located within the state.
